Terms of Service

1. Parties and scope

These Terms of Service (the "Terms") form a binding agreement between you ("Customer", "you") and FoogleGiber LLC, a Delaware limited liability company ("Nimbus", "we", "us"), operator of the Nimbus API platform accessible at https://nimbusapi.net and https://llm.nimbusapi.net (collectively, the "Service").

By creating an account, obtaining an API key, or transmitting a request through the Service, you accept these Terms in full. If you do not accept them, do not use the Service.

2. Acceptable use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Generate, request, or distribute child sexual abuse material (CSAM), non-consensual intimate imagery, or content that sexualizes minors.
• Produce or deliver malware, ransomware, phishing kits, or other software designed to cause harm to computer systems or extract credentials.
• Perform automated scraping, indexing, or bulk reproduction of copyrighted content that you do not have a license to reproduce.
• Generate content that targets a real person for harassment, defamation, or credible threats of violence.
• Circumvent, resell, or sublicense access to the Service in a manner that competes directly with Nimbus as an LLM gateway without a separate written agreement.
• Interfere with the security, availability, or integrity of the Service, including probing for vulnerabilities without prior written authorization.

We reserve the right to suspend or terminate any account that we reasonably believe is violating this section, with or without prior notice.

3. Prepaid billing

Nimbus operates on a prepaid balance model. You add funds to your account via SellAuth, NowPayments, or another supported processor, and inference charges are debited from your balance in real time as requests complete.

• Non-refundable. Prepaid balance is non-refundable except at the sole discretion of Nimbus. See the Refund Policy for narrow exceptions covering technical failure and wrongful charges.
• No expiration. Balance does not expire while your account is in good standing.
• Pricing changes. Per-token pricing is set per model and may change with 7 days' notice via email or the pricing page. Existing balance is honored at the price in effect at the time each request is served.
• Taxes. You are responsible for any sales, use, value-added, or other taxes assessed by your jurisdiction on your purchase of prepaid balance.

4. Third-party providers

Nimbus is a gateway. Requests are routed to underlying model providers including OpenAI, Anthropic, Google, xAI, Meta, DeepSeek, Mistral, Azure OpenAI, and others. We are not the manufacturer of these models and do not control their availability, latency, safety behavior, or output.

Disclaimer. To the fullest extent permitted by law, Nimbus is not liable for provider outages, provider content policy actions, provider deprecations, or provider pricing changes. We will make commercially reasonable efforts to reroute traffic to a healthy provider when a primary is degraded, but we do not guarantee that any specific model will be available at any given time.

5. API keys and account security

Nimbus issues API keys prefixed with sk-nim-. You are solely responsible for maintaining the confidentiality of your keys and your account credentials. Any request signed with a valid key is treated as authorized by you and will be billed to your account.

If you believe a key has been compromised, rotate it immediately from the Dashboard. Nimbus is not liable for charges incurred prior to rotation. We may proactively rotate or suspend a key if we detect obvious compromise indicators (e.g., publication of the key in a public GitHub commit), but we are not obligated to do so.

6. Service level

Nimbus targets 99.9 percent monthly uptime for its gateway. Uptime is measured by our public status page and excludes: scheduled maintenance announced at least 24 hours in advance, degradations caused entirely by an upstream provider, and force majeure events.

7. Intellectual property

You retain ownership of prompts you send and outputs you receive, subject to the underlying provider's terms. Nimbus retains all rights in the platform, dashboard, documentation, and brand assets. Nothing in these Terms grants you a license to the Nimbus name or logo except in factual references (e.g., "built on Nimbus").

8. Termination

You may close your account at any time from the Dashboard. Nimbus may suspend or terminate your account, with or without prior notice, if you materially breach these Terms, if we are required to do so by law, or if continued service would expose Nimbus to unreasonable risk. On termination for cause, unused prepaid balance may be forfeited. On termination without cause, remaining balance is refundable at our discretion.

9. Warranty disclaimer

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of model output. Model output may be inaccurate, offensive, or otherwise inappropriate for your use case. You are responsible for reviewing output before acting on it.

10. Limitation of liability

To the fullest extent permitted by law, the total aggregate liability of Nimbus and FoogleGiber LLC arising out of or related to these Terms or the Service shall not exceed the greater of (a) one hundred U.S. dollars or (b) the amount you paid to Nimbus in the twelve months preceding the event giving rise to the claim. In no event will Nimbus be liable for indirect, incidental, consequential, special, or punitive damages.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.

12. Changes

We may revise these Terms from time to time. Material changes will be announced via email and the dashboard at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
